Terms of Service

1. Acceptance of Terms

By accessing or using ReviewLM ("the Service"), operated by Masteret Labs, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms apply to all users, including business owners, team members, and end-users who interact with the review generation system.

2. Description of Service

ReviewLM provides AI-powered review generation tools for local businesses. The Service includes, but is not limited to:

• Branded and customizable QR codes that link to a review generation page
• AI-powered review text generation using large language models
• Analytics dashboards showing scan, generation, and conversion metrics
• Review page hosting with optional custom branding
• Multi-location management for businesses with multiple branches
• Team member invitations and role-based access
• Shareable review links for digital distribution

Features available to you depend on your subscription plan (Starter, Growth, Pro, or Enterprise).

3. Account Registration and Security

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must immediately notify us of any unauthorized use of your account.
• You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
• One account per individual. Sharing account credentials with third parties is prohibited.
• We reserve the right to refuse registration or terminate accounts that violate these Terms.

4. Subscriptions, Billing, and Free Trials

4.1 Plans and Pricing

The Service is offered under paid subscription plans (Starter, Growth, Pro, Enterprise). Current pricing is displayed on our website and is subject to change with 30 days' notice to existing subscribers.

4.2 Free Trial

New accounts may be eligible for a 7-day free trial. During the trial, you have full access to your selected plan's features. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and you will be charged the applicable subscription fee.

4.3 Billing

• Payments are processed by Paddle, our Merchant of Record. All billing inquiries are handled through Paddle.
• Monthly plans are billed on the same date each month. Annual plans are billed on the anniversary of your subscription start date.
• All prices are in US Dollars (USD) unless otherwise specified. Applicable taxes are calculated and collected by Paddle based on your location.

4.4 Cancellation and Refunds

• You may cancel your subscription at any time from your dashboard settings.
• Cancellation takes effect at the end of the current billing period. You retain access until then.
• Refund requests submitted within 14 days of purchase will be reviewed on a case-by-case basis.
• Annual plan refunds, if approved, are prorated based on the remaining months in the subscription.

5. Acceptable Use Policy

You agree to use the Service lawfully and ethically. You shall not:

• Generate reviews for experiences that did not actually occur
• Use the Service to create fake, misleading, or fraudulent reviews
• Incentivize or coerce customers into leaving reviews in exchange for compensation
• Violate Google's review policies, FTC endorsement guidelines, or any other applicable regulations
• Attempt to bypass rate limits, abuse prevention systems, or Cloudflare Turnstile verification
• Use automated tools (bots, scrapers) to interact with the Service
• Share your account credentials or allow unauthorized access
• Upload malicious content, viruses, or harmful code
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service for any purpose that is unlawful, harmful, or infringes on the rights of others
• Scrape, harvest, or collect data from the Service without authorization

6. AI-Generated Content

• Reviews generated by our AI are suggestions created based on user-selected prompts and business information.
• End-users retain full control over whether to post, edit, modify, or discard the generated review.
• ReviewLM does not automatically post reviews to Google or any other platform.
• The "Copy & Go to Google" action requires explicit user intent and interaction.
• We are not responsible for the content of reviews that end-users choose to post.
• AI-generated text may occasionally contain errors or inaccuracies. End-users are encouraged to review and edit before posting.
• We do not guarantee that AI-generated reviews will remain on Google or any platform. Review platforms may remove reviews at their discretion.

7. Review Integrity and Google Compliance

Our Service is designed to comply with Google's review policies and applicable FTC guidelines. Specifically:

• No Review Gating: We do not selectively solicit reviews based on sentiment. All customers who scan the QR code have the opportunity to share feedback.
• Private Feedback Channel: Customers who indicate a negative experience (1-3 stars) are directed to a private feedback form rather than Google. This gives businesses the chance to address concerns directly.
• Transparent Process: End-users are aware that AI is assisting in drafting their review.
• No Fake Reviews: Every review is initiated by a real customer who had a real experience at the business.

While we design for compliance, we cannot guarantee that Google will not update its policies in ways that affect our Service. You acknowledge that compliance with Google's review policies is ultimately your responsibility as the business owner.

8. Intellectual Property

• The Service, including its design, code, logos, and documentation, is owned by Masteret Labs and protected by intellectual property laws.
• You retain ownership of your business data, branding assets, and content you upload to the Service.
• By uploading content, you grant us a limited, non-exclusive license to use it solely for providing the Service.
• AI-generated review text is not owned by us. Once generated, the text is at the end-user's discretion.
• You may not use our brand name, logos, or trademarks without prior written consent.

9. Service Availability and Modifications

• We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
• We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.
• We may update pricing, plans, and features. Existing subscribers will be notified 30 days before any pricing change takes effect on their account.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be error-free, secure, or uninterrupted.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• We are not liable for any loss of data, revenue, profits, or business opportunities.
• We are not liable for reviews that are removed, flagged, or penalized by Google or any other platform.
• Our total aggregate liability for any claims arising from these Terms shall not exceed the total amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Masteret Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) reviews posted by your customers using the Service, or (d) any breach of applicable laws or third-party rights.

12. Termination

• You may terminate your account at any time by cancelling your subscription and requesting account deletion.
• We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or use the Service to generate fake reviews.
• Upon termination, your data will be retained for 30 days (to allow reactivation), after which it will be permanently deleted.
• Sections 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive termination.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be New Delhi, India.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account and posted on our website at least 30 days before taking effect. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
